The LendHER Collective

These Terms of Service (“Terms”) govern your access to and use of The LendHER Collective (the “Service”), a professional networking community for women in the mortgage industry, operated by AMiLLY Technologies, Inc., a Delaware corporation (“we,” “us,” “our,” or “Company”). The Service includes the website at member.lendhercollective.com, the The LendHER Collective iOS application (collectively, the “App”), and all related features, content, and services.
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy, available at member.lendhercollective.com/privacy. If you do not agree to these Terms, do not use the Service.
These Terms of Service govern your access to and use of The LendHER Collective. By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.
Account means the personal profile you create to access the Service.
Member means any individual who has registered for an Account.
Founder or Executive Director refers to the founder of The LendHER Collective.
Diamond Key means a one-time membership credential offered by the Service.
User Content means any content, including text, photographs, comments, messages, or other materials, that Members submit, post, or transmit through the Service.
Subscription means a paid recurring membership in the Service.
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that:
(a) You are at least 18 years of age;
(b) You have the legal capacity to enter into a binding agreement;
(c) You are a professional active in the mortgage industry, real estate finance industry, or an adjacent field that aligns with theThe LendHER Collective community focus;
(d) Your use of the Service complies with all applicable laws and regulations.
The Service is intended for women in the mortgage industry. Any individual whose use of the Service does not align with the community's stated purpose may have their access suspended or terminated at the discretion of The LendHER Collective.
To access most features of the Service, you must register for an Account. You agree to:
(a) Provide accurate, current, and complete information during registration;
(b) Maintain and promptly update your Account information;
(c) Maintain the security of your Account credentials;
(d) Notify us immediately at support@amilly.tech of any unauthorized access or security breach;
(e) Accept responsibility for all activities that occur under your Account.
We use passwordless magic link authentication. You are responsible for the security of the email address associated with your Account.
You may not transfer your Account to another person without our prior written consent. You may not maintain more than one Account.
The Service offers paid membership access. Payment processing depends on where the purchase is made. Current membership options include:
(a) iOS monthly subscription, processed through Apple in app purchase;
(b) Web monthly subscription, processed through Stripe;
(c) Web annual subscription, processed through Stripe;
(d) Diamond Key, a one time payment for a permanent membership credential.
Pricing is displayed on the active purchase surface before checkout. We reserve the right to modify pricing at any time, with notice provided to existing Members at least thirty (30) days in advance of any change to recurring Subscription pricing.
Purchases made in the iOS app are processed by Apple. Apple manages cancellation, refund, and renewal settings through your Apple ID Subscriptions settings. Purchases made on the website are processed by Stripe and managed through the web subscription portal.
By subscribing, you authorize us, through Stripe, to charge your designated payment method for the applicable Subscription fees, including any applicable taxes, on a recurring basis until you cancel.
You may cancel your Subscription at any time through the billing manager for the surface where you purchased. Apple subscriptions are managed in your Apple ID Subscriptions settings. Web subscriptions are managed through the Stripe Customer Portal, accessible via the Profile drawer in the App. Cancellation will take effect at the end of your current billing period. You will retain access to the Service until the end of the period for which you have paid.
All payments to The LendHER Collective are nonrefundable, except where required by applicable law. This includes monthly Subscription fees, annual Subscription fees, and Diamond Key one time payments. By purchasing a Subscription or Diamond Key, you acknowledge and agree that you will not receive a refund for any unused portion of your membership.
If you believe you have been billed in error, please contact us at support@amilly.tech within thirty (30) days of the charge.
Diamond Key is a limited-availability one-time membership credential that grants permanent access to the Service. Diamond Key holders receive the same access as monthly and annual Subscribers, plus any additional benefits we may offer to Diamond Key holders from time to time.
Diamond Key is a membership credential, not an investment, security, or financial instrument. Diamond Key does not entitle the holder to any ownership interest in AMiLLY Technologies, Inc.,The LendHER Collective, or any associated entity. Diamond Key does not provide any expectation of financial return, profit sharing, or appreciation in value.
The Service allows Members to create, post, and share User Content, including profile information, professional details, photographs, written posts, and direct messages.
By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, store, reproduce, display, and distribute your User Content solely for the purpose of operating, providing, and improving the Service. This license terminates when you delete your User Content or your Account, except for User Content that other Members have already received (such as direct messages) and except as required for our backup, audit, or legal compliance purposes.
You are solely responsible for your User Content and for any consequences of submitting it. You represent and warrant that:
(a) You own or have the necessary rights to your User Content;
(b) Your User Content does not violate any third-party rights, including intellectual property, privacy, or publicity rights;
(c) Your User Content complies with these Terms and all applicable laws.
We do not endorse any User Content and have no obligation to review or moderate User Content, although we reserve the right to do so.
If you believe your copyrighted work has been copied in a way that constitutes infringement, please send a notice to support@amilly.tech containing: (i) a description of the copyrighted work; (ii) the location of the allegedly infringing material; (iii) your contact information; (iv) a statement of good-faith belief that the use is unauthorized; and (v) a statement, under penalty of perjury, that the information is accurate and you are the owner or authorized to act on behalf of the owner.
You agree to use the Service in a professional manner consistent with the The LendHER Collective community values. You may not:
(a) Use the Service to harass, threaten, intimidate, or discriminate against any other Member;
(b) Post content that is defamatory, obscene, hateful, or unlawful;
(c) Solicit other Members for purposes unrelated to professional networking and mortgage industry collaboration;
(d) Send unsolicited commercial communications to other Members;
(e) Impersonate another person, misrepresent your professional credentials, or provide false NMLS or licensing information;
(f) Use automated tools, scrapers, bots, or scripts to access the Service or extract data;
(g) Reverse engineer, decompile, or attempt to derive the source code of the Service;
(h) Interfere with the operation of the Service or attempt to gain unauthorized access to any portion of the Service;
(i) Use the Service to violate any applicable law or regulation, including mortgage industry regulations, fair housing laws, or consumer protection laws;
(j) Share, resell, or transfer your Account access to any third party.
We reserve the right to suspend or terminate Accounts that violate these provisions, with or without notice.
The Service provides tools to block other Members and to report content or conduct that violates these Terms. Members can:
(a) Block another Member to prevent that Member from sending messages or contacting them through the Service;
(b) Report content or conduct that violates these Terms by submitting a report through the App.
Reports are reviewed by The LendHER Collective administrators. We will take appropriate action, which may include warnings, content removal, or Account termination.
All content provided by The LendHER Collective, including the The LendHER Collective and AMiLLY Technologies names, logos, trademarks, designs, software, and any original written or visual content created by us, is the exclusive property of AMiLLY Technologies, Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal professional networking purposes, subject to these Terms.
You may not copy, modify, distribute, sell, or create derivative works based on the Service or any content provided by The LendHER Collective, except as expressly permitted by these Terms.
If you provide us with any suggestions, feedback, ideas, or proposals regarding the Service (“Feedback”), you agree that we may use, modify, and incorporate such Feedback into the Service without any compensation, attribution, or obligation to you.
You may terminate your Account at any time by canceling your Subscription and contacting support@amilly.tech to request Account deletion.
We may suspend or terminate your Account at any time, with or without notice, if we determine in our sole discretion that:
(a) You have violated these Terms;
(b) Your conduct creates risk to the Service, other Members, or the integrity of the The LendHER Collective community;
(c) We are required to do so by law or court order;
(d) We discontinue the Service.
Upon termination, your right to access the Service ceases immediately. Provisions of these Terms that by their nature should survive termination, including intellectual property, disclaimers, limitations of liability, indemnification, and governing law, will survive.
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, AMiLLY TECHNOLOGIES, INC. DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not endorse, guarantee, or assume responsibility for any User Content or for any product, service, advice, or representation made by any Member.
The Service is a professional networking platform. We do not provide mortgage, financial, legal, or investment advice. Any communications between Members are between those Members and not endorsed or verified by The LendHER Collective.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL AMiLLY TECHNOLOGIES, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless AMiLLY Technologies, Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:
(a) Your access to or use of the Service;
(b) Your User Content;
(c) Your violation of these Terms;
(d) Your violation of any third-party right.
These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.
The following additional terms apply to your use of the The LendHER Collective iOS application obtained from the Apple App Store:
(a) These Terms are an agreement between you and AMiLLY Technologies, Inc., not with Apple Inc. (“Apple”). Apple is not responsible for the App or its content.
(b) Apple has no obligation to provide any maintenance or support services for the App.
(c) In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the App to you (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
(d) Apple is not responsible for addressing any claims by you or any third party relating to the App, including product liability claims, claims that the App fails to conform to legal or regulatory requirements, and claims arising under consumer protection or similar legislation.
(e) Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party claim that the App or your use of it infringes that third party's intellectual property rights.
(f) You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
(g) Apple and Apple's subsidiaries are third-party beneficiaries of these Terms with respect to your use of the App, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
We may modify these Terms at any time. If we make material changes, we will notify you by email or through the Service at least fourteen (14) days before the changes take effect. Your continued use of the Service after the effective date of the modified Terms constitutes your acceptance of those Terms. If you do not agree to the modified Terms, you must stop using the Service.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and AMiLLY Technologies, Inc. regarding the Service and supersede any prior agreements between you and us regarding the Service.
